§ 1 Scope

These Terms of Use ("Terms") govern the use of the application "Spooly" (hereinafter "Service" or "Platform"), operated by Tobias Terzer, Bertha-von-Suttner-Gasse 8/1/57, 1220 Vienna, Austria (hereinafter "Provider"). The Service is provided as a web application and as a native app for iOS and Android.

By registering for and using the Service, the user agrees to these Terms. Any deviating terms of the user shall not be recognized unless the Provider expressly agrees to their validity in writing.

When obtaining the native apps via the Apple App Store or Google Play, the terms of the respective store operator apply in addition. The apps may receive updates automatically insofar as this serves to maintain functionality and security.

§ 2 Description of Services

Spooly is an application for managing 3D printing filaments and print jobs. The Service enables in particular:

Recording and managing filament inventory including storage locations and moisture management
Tracking filament consumption and consumption forecasts
Integration with 3D printers and third-party printer ecosystems (e.g. Bambu Lab including AMS, Prusa, Klipper, Snapmaker)
Importing filament data (e.g. via photo, CSV, or from third-party applications)
Creating and managing print projects and orders
Creating QR code labels and sharing filament collections with third parties
Gamification features (achievements, challenges, leaderboards)
Optional reorder suggestions with partner links (marked as advertising)
Additional features as described in the current product description

§ 2a Third-Party Integrations

Certain features of the Service rely on interfaces and services of third parties (in particular Bambu Lab Cloud, Prusa Connect, Klipper/Moonraker, Snapmaker), over whose availability, scope, and continued existence the Provider has no control.

The Provider owes integration with such third-party services only within the scope of the capabilities provided by those third parties. If a third party changes or discontinues its interfaces, the affected feature may be adapted, restricted, or discontinued without giving rise to claims against the Provider; the core functionality of the Service (filament management) remains unaffected.

The third parties' own terms may apply to the use of their services. Third-party credentials stored by the user in the Service are stored in encrypted form.

§ 2b AI-Powered Features

The Service offers optional features based on artificial intelligence (e.g. photo import of filament data, consumption forecasts). To provide these features, content actively submitted by the user for this purpose (e.g. uploaded photos) may be processed by third-party AI services. Details are set out in the Privacy Policy.

Results of AI-powered features (e.g. recognized product data, forecasts) are automatically generated estimates and may be inaccurate. They must be reviewed by the user before use and do not constitute a warranted characteristic.

§ 3 Registration and User Account

Registration is required to use the Service. Users can register with an email address and password or by signing in with a Google account.

Use of the Service requires a minimum age of 14 years. A minimum age of 18 years is required for purchasing paid subscriptions. Minors between 14 and 17 years of age may only purchase paid services with the consent of a legal guardian.

The user is obligated to provide truthful information and to keep their login credentials confidential. Any use that occurs under the user's login credentials is attributed to the user.

The user is obligated to inform the Provider immediately if they become aware that third parties are misusing their login credentials.

§ 4 Free and Paid Services (Spooly Pro)

The Service offers both free basic features and extended features as part of a paid offering ("Spooly Pro").

New users receive a free 14-day trial of Spooly Pro upon registration. The trial ends automatically; no cancellation is required and no payment details are needed. After expiry, the free basic features remain available.

Spooly Pro is available as a monthly subscription, an annual subscription, or as a one-time lifetime license. Current prices are available on the website. All stated prices are final prices in euros (EUR). Where VAT applies, it is included in the price and shown separately on the invoice. Any fees for currency conversion or foreign use of the payment method are borne by the user.

Payment is processed through the payment service provider Stripe. By subscribing, the user also accepts Stripe's terms of use.

Subscriptions renew automatically for the respective contract period (month or year) unless cancelled before expiration. The automatic renewal is clearly indicated during the ordering process. Cancellation is possible at any time with effect from the end of the current billing period, through the same electronic means used to subscribe: via account settings ("Manage subscription"), via the cancellation button on the website, or by email to support@spooly.eu. For annual subscriptions, the Provider will notify the user by email in good time before renewal about the upcoming charge.

Price changes for active subscriptions will be communicated to the user by email at least 30 days before taking effect and only apply from the next renewal period. If the user cancels before the change takes effect, the price change does not become effective; the contract ends at the end of the current period.

§ 4a Lifetime License

The Lifetime License grants the user access to the Pro features of Spooly for the entire operational lifetime of the Service, but for a minimum period of ten (10) years from the date of purchase ("Minimum Term"). "Lifetime" expressly refers to the lifetime of the Spooly service, not the lifetime of the user.

After the Minimum Term expires, the Provider will endeavor to maintain access. However, no legal claim to access beyond the Minimum Term exists.

In the event of permanent discontinuation of the Service (in particular in case of insolvency or cessation of business), the Lifetime access shall end. If the Service is discontinued within 24 months of acquiring the Lifetime License, the user shall receive a pro-rata refund based on the remaining Minimum Term. As the more specific provision, this rule takes precedence over the compensation rule in § 7.

The Lifetime License is tied to the user account and is not transferable to third parties. Only one Lifetime License may be acquired per user.

The Provider reserves the right to further develop, modify, or discontinue individual features of the Service, provided the core functionality is maintained.

§ 5 Right of Withdrawal for Consumers

Consumers habitually resident in the European Union or the European Economic Area have the right under the Austrian Distance and Off-Premises Contracts Act (FAGG) to withdraw from the contract within 14 days without giving any reason.

The withdrawal period is 14 days from the day of conclusion of the contract. To exercise your right of withdrawal, you must inform us (Spooly, Tobias Terzer, support@spooly.eu) of your decision to withdraw from the contract by a clear statement (e.g., by email or via the cancellation button on the website).

In case of an effective withdrawal, we will refund all payments received from you without undue delay and no later than within 14 days from the day on which we received the withdrawal notice. We will use the same payment method that you used for the original transaction for the refund.

Pursuant to § 18 Abs. 1 Z 11 FAGG, the right of withdrawal expires prematurely for digital content (not delivered on a physical medium) if you have expressly agreed that we begin the execution of the contract before the expiration of the withdrawal period and you have simultaneously acknowledged that you lose your right of withdrawal by giving your consent. This consent is obtained during the ordering process.

Mandatory withdrawal, cancellation, or refund rights available to consumers habitually resident outside the EU or EEA under the law of their country of residence remain unaffected.

§ 5a Model Withdrawal Form

Pursuant to FAGG Annex I Part B, we provide the following model withdrawal form (this form only needs to be completed and returned if you wish to withdraw from the contract):

Note: You may also submit the withdrawal form electronically by email to support@spooly.eu. In this case, we will promptly confirm receipt by email.

§ 6 User Obligations

The user agrees to:

Not use the Service for illegal purposes
Not upload content that violates applicable law
Respect the rights of third parties (especially copyrights)
Not perform automated access to the Service (bots, scrapers)
Not overload the Service or impair its functionality
Keep their login credentials secret

§ 6a User Content and Sharing Feature

Content stored by the user in the Service (e.g. filament data, photos, project descriptions, notes) remains the property of the user. The user grants the Provider the simple, revocable right to store, technically process, and display this content to the extent necessary to provide the Service.

If the user uses the sharing feature (e.g. public links to filament collections), the shared content becomes accessible to anyone with the link. The user can end the sharing at any time. The user is solely responsible for shared content.

The user shares responsibility for backing up their data; the Service provides export functions for this purpose (e.g. JSON backup, CSV).

§ 7 Availability and Warranty

The Provider strives to ensure the Service is available without interruption. However, 100% availability cannot be guaranteed.

The Provider reserves the right to modify, expand, or discontinue the Service at any time. In case of discontinuation, prepaid fees for current subscription periods that have not yet been used up will be refunded proportionally; for the Lifetime License, the more specific provision in § 4a applies.

The statutory warranty rules apply, for consumers in particular those concerning digital services. The Provider assumes no warranty for the accuracy of data entered by the user.

§ 8 Liability

The Provider is liable without limitation for damages resulting from injury to life, body, or health, as well as for other damages based on intent or gross negligence of the Provider.

For other damages based on slight negligence, the Provider's liability is excluded. Vis-à-vis consumers, this exclusion does not apply to personal injury and does not apply where mandatory statutory liability rules conflict with it.

Liability under mandatory statutory provisions (in particular under the Product Liability Act) remains unaffected.

§ 9 Privacy

Information about the collection, processing, and use of personal data in connection with the Service can be found in the Privacy Policy at https://spooly.eu/en/datenschutz. Data processing is carried out on the legal bases of the GDPR stated therein.

§ 10 Intellectual Property

All rights to the software, design, logos, and other content of the Service belong to the Provider or its licensors.

Use of the Service does not grant the user ownership or other rights to the Provider's intellectual property. The user only receives a simple, non-transferable right of use for the duration of the contractual relationship.

§ 11 Termination and Suspension

The user can delete their account at any time in the account settings or by email to support@spooly.eu.

The Provider is entitled to suspend or delete the user account if:

The user violates these Terms
The user has provided false information during registration
The user misuses the Service
Legal reasons require it

§ 12 Changes to Terms

The Provider may amend these Terms where this is objectively justified due to changed legal or technical conditions, changes to the scope of services, or to resolve ambiguities. Users will be informed of changes at least 30 days before they take effect, by email or through the Service.

Changes that are exclusively beneficial to the user or purely editorial in nature take effect upon their effective date. For all other changes, the Provider will obtain the user's consent (e.g. by confirmation within the Service); alternatively, the user may terminate the contract free of charge before the changes take effect. If the user does not consent, the Provider is entitled to terminate the contract with reasonable notice to the end of the current billing period; prepaid, unused fees will be refunded proportionally.

§ 13 Alternative Dispute Resolution

The Provider is neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board within the meaning of the Austrian Alternative Dispute Resolution Act (AStG). Complaints can be addressed to support@spooly.eu at any time.

§ 14 Final Provisions

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of private international law. If the user is a consumer, the mandatory consumer protection provisions of the state in which they have their habitual residence remain unaffected by this choice of law.

If the user is a consumer within the meaning of the Austrian Consumer Protection Act (KSchG) and resides in Austria, the courts at the consumer's residence have jurisdiction for claims against the consumer. For business users, the place of jurisdiction is Vienna. Mandatory statutory places of jurisdiction remain unaffected.

These Terms are available in German and English. In case of discrepancies, the German version prevails.

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
